Terms & Conditions

These Terms & Conditions apply to all projects, engineering services, spare parts, and servicing provided by Discover Dental Supplies Ltd. Any promotional offers may be subject to separate terms and will override any contradictory statements below.

1. Payment Terms

1.1 Payments must be made via BACS, bank transfer, or an approved credit facility. Cash or cheques are not accepted.

1.3 All prices exclude VAT unless otherwise stated.

1.4 We reserve the right to refuse credit account applications or require advance payment at our discretion.

1.5 Equipment remains the property of Discover Dental Supplies Ltd until full payment has been received.

1A. Engineering (Ad-Hoc) and Spare Parts - Payment Schedule

• 100% payable 
• Callout fees are non-refundable once an engineer has been dispatched.

1B. Annual Servicing Payment Schedule

• Option 1 – 100% payable on completion of the annual service.
• Option 2
  
  • 40% payable on order or booking.
  • 60% payable in 11 equal monthly instalments, commencing the day after the servicing has been completed.
  • Failure to maintain monthly payments may result in withdrawal of servicing benefits and suspension of credit account facilities.

1C. Small Equipment Payment Schedule

• 100% payment is required before shipping.

1D. Project Payment Schedule

• 40% on order placement (contract signing).
• 50% two weeks before commencement (must be cleared before work starts).
• 10% upon practical completion.

1E. Interior Design & Technical Drawings Payment Schedule

• 70% payable in advance, prior to commencement of design work.
• 30% payable upon receipt of finalised drawings.
• All intellectual property in drawings remains the property of Discover Dental Supplies Ltd until payment has been received in full.
• Drawings may not be shared with or used by third parties without written consent.

2. Credit Accounts

2.1 New customers will be allocated a  £1000 credit facility with 7-day terms.

2.2 You will be required to fill out a credit account application form to extend to 30-day terms with up to £5,000 which allows Discover Dental Supplies Limited to run a soft credit check on the business and directors, as necessary.

2.3 If the active credit limit is exceeded, no further goods or services will be supplied until the account is put back into good standing via payment or the credit account is extended.

2.4 Accounts overdue by more than 60-days will be referred to a collection agency which can impact the company credit rating.

2.5 Disputed invoices (12.1) will not be marked as overdue or passed to the collection agency until a resolution has been reached, if payment is not forthcoming then the credit account will be revoked.

2.6 Discover Dental Supplies Limited reserves the right to change or remove the credit account facilities at any time with 7 days’ notice.

2.7 Credit accounts are exclusively for Parts, Engineering Works and Callouts.

3. Project Payment Schedule (Definitions and assumptions)

3.1 Standard projects are payable in instalments:

• 40% on order placement (contract signing).
• 50% two weeks before commencement (must be cleared before work starts).
• 10% upon practical completion.

3.2 “Practical completion” means the practice or equipment is safe and operational for clinical use. Minor snagging does not delay this definition.

3.3 Variations: Any customer-requested change that affects cost or timescale will require a variation order. Variations must be agreed in writing and may require upfront payment.

4. Engineering, Servicing & Callouts (Definitions and Assumptions)

4.1 Callouts and servicing charges are payable immediately unless a credit account is in place.

4.2 Callout fees are non-refundable once an engineer is dispatched.

4.3 Customers must provide safe site access, power, and facilities for our engineers. Delays caused by inadequate access may incur waiting time charges.

5. Late Payments

5.1 Late payments accrue interest at 1.5% of the total amount outstanding per month until settled.

5.2 Legal and collection costs may also be charged on overdue accounts.

5.3 We reserve the right to suspend or withdraw credit facilities if payment terms are breached.

6. Delivery of Goods

6.1 Delivery dates are estimates only.

6.2 Risk passes to the customer upon delivery, even if installation has not yet taken place.

6.3 If you fail to accept delivery within 2 business days, we may charge storage or resell the goods.

7. Intellectual Property

7.1 All designs, drawings, and layouts remain the property of Discover Dental Supplies Ltd until paid for in full, if no payment has been requested for the drawings or designs then these will remain the property of Discover Dental Supplies Ltd indefinitely or unless written consent is given.

7.2 Customers may not share or use our designs with third parties without written consent.

7.3 If you cancel a project after receiving our designs, we reserve the right to charge for design work completed based on the number of hours taken to complete them. The chargeable rate for design work is £105.00 + VAT per hour.

8. Warranty & Liability

8.1 We warrant that goods will:

• Match their description.
• Be free from material defects.
• Be of satisfactory quality.

8.2 Discover Dental Supplies Ltd acts as a reseller. Manufacturer warranties apply and responsibility for product defects lies with the manufacturer.

8.3 Our liability is limited to the contract value. We are not liable for indirect losses, including loss of revenue, business interruption, or reputational damage.

8.4 Customers must follow manufacturer maintenance schedules and recommendations. Failure to maintain equipment correctly may void warranties.

8.5 Servicing complaints must be reported in writing within 7 days of completion.

9. Events Outside Our Control

We are not liable for delays caused by circumstances outside our control, including but not limited to:

• Supply chain shortages
• Transport strikes
• Pandemics or government restrictions
• Manufacturer delays or regulatory changes

10. Termination

Either party may terminate if the other:

• Commits a material breach not remedied within 10 business days after the initial report.
• Becomes insolvent or ceases trading.

11. Subcontracting

We may subcontract work at our discretion. Liability for workmanship rests with the subcontractor. Discover Dental will facilitate claims but is not directly liable for subcontractor performance.

12. Dispute Resolution

12.1 Disputes must be raised in writing (by email) to accounts@discoverdental.co.uk within 7 days of receipt of the invoice disputed.

12.2 Both parties will attempt to resolve disputes by negotiation or mediation before commencing legal proceedings.

13. Governing Law

These Terms are governed by English law. Any disputes will be subject to the exclusive jurisdiction of the English courts.

14. Acceptance

By placing an order, you confirm that you have read, understood, and accepted these Terms & Conditions.
